Legal

Terms of Use

Last updated: 21 October 2026

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE WEBSITE OR PURCHASING ANY PRODUCT OR SERVICE.

These Terms of Use (the “Terms”) form a legally binding agreement between you and Quill and Crest (the “Provider”, “we”, “us” or “our”). They govern your access to and use of https://quillandcrest.com and your purchase and use of our ebooks, digital courses, software and related products and services.

By accessing the Website, creating an Account, placing an Order or using any Product or Service, you agree to these Terms. If you do not agree, do not use the Website or purchase any Product or Service.

In particular, please note: Products are licensed and not sold (clause 3); resale, sharing and AI-training uses are prohibited (clauses 5 and 7); refunds are governed by clause 11 and Schedule 1, and are subject to conditions for Courses and are not available for Coaching Services; the Products are educational and no results are guaranteed (clause 20); and our liability is limited as set out in clause 26, without affecting rights that cannot be excluded by law.

1. Acceptance, eligibility and capacity

1.1 Acceptance by use. You accept these Terms when you access the Website, create an Account, place an Order or use any Product or Service. If you do not accept them, you must not do any of these things, and you must stop using the Website immediately.

1.2 Age and capacity. You must be eighteen (18) years of age or over, or the age of majority where you live if that age is higher, and you must have the legal capacity to enter into a binding contract. If you do not meet these requirements, you must not create an Account or place an Order.

1.3 Products designed for children. Where a Product is designed for children, it is sold to a parent or legal guardian, who must create the Account and make the purchase. We do not offer Accounts to children and we collect only the minimum Personal Data needed to deliver the Product.

1.4 Entering these Terms for an organisation. If you accept these Terms on behalf of a company or other organisation, you confirm that you have authority to bind it. In that case, “you” and “your” refer to that organisation, and you are personally responsible if you did not have that authority.

1.5 Product-specific terms and Product Pages. Terms that appear on a Product Page, or in a licence file delivered with a Product, apply together with these Terms. If they differ from these Terms, the Product Page prevails for that Product, as clause 3.6 explains, and nothing on a Product Page reduces any right that you have under Applicable Law.

1.6 Documents that form part of the agreement. These Terms, the Product Page for the Product that you order, and our Privacy Policy at https://quillandcrest.com/privacy-policy/ together make up the agreement between you and us. No other policy, rule or notice forms part of the agreement unless we tell you so in writing and you accept it.

1.7 Keep a copy. We recommend that you save or print a copy of these Terms, and of the Product Page, as they stand on the date of your Order. We will make earlier versions available on request to the Support Email, so that you can see the terms that applied when you ordered.

2. Definitions and interpretation

2.1 Definitions. In these Terms, the following words have the meanings given to them below, wherever they appear with a capital letter:

Account means the personal account that you create or that we create for you to access the Website, a Product or a Service.

Affiliate Partner means a person whom we have approved to promote the Products or Services under an affiliate or referral programme, where we offer one.

Coaching Services means personalised coaching, consulting, mentoring or advisory sessions that we provide to you, individually or to several people together, whether live or recorded.

Content means all text, images, audio, video, data, software code, documents, templates, designs, worksheets and other material made available on the Website or through any Product or Service.

Event means a webinar, workshop, live session, challenge or other scheduled online or in-person gathering that we organise.

Intellectual Property Rights means copyright, trade marks, service marks, trade names, design rights, database rights, rights in know-how and confidential information, rights in Software, and all similar rights anywhere in the world, whether or not registered, including applications and renewals.

Order means a request that you make through the Website, or by another method that we accept, to buy or receive a Product or Service.

Payment Processor means a third-party provider that processes payments for us and acts as the merchant of record for your Order.

Personal Data has the meaning that our Privacy Policy at https://quillandcrest.com/privacy-policy/ gives it.

Product means any Ebook, Course or Software, and any bundle or combination of them, that we make available through the Website.

Product Page means the page on the Website, or the checkout or programme page, that describes a particular Product or Service and states the details and conditions that apply to it.

Purchase Date means the date on which your Order is confirmed and your payment is accepted by the Payment Processor.

Refund Period has the meaning given in clause 11.1.

Service means any Coaching Services, Event or other service that we provide, other than a Product.

Software means any computer program, application, plug-in, script, template pack, tool or feature, including any artificial intelligence feature, that we make available, together with its updates and documentation.

Support Email means [email protected].

Third-Party Platform means any website, service, application or system that is owned or operated by someone other than us, including those used for hosting, payment, video, email, learning delivery, analytics or artificial intelligence.

Website means https://quillandcrest.com, its subdomains and the related pages that we operate.

2.2 Interpretation. In these Terms:

(a) the word “including” means “including without limitation”, and examples do not limit the general words that come before them;

(b) headings are for convenience only and do not affect the meaning of a clause;

(c) a reference to a law includes that law as amended, extended or replaced from time to time, and any rules made under it;

(d) the singular includes the plural and the plural includes the singular;

(e) “written” and “in writing” include email; and

(f) a period expressed in days means calendar days, unless business days are stated, and a business day is a day other than a Saturday, a Sunday or a public holiday in Nigeria.

2.3 Defined terms elsewhere. The terms “Terms” and “Provider” are defined in the opening paragraphs of these Terms. Where a Product Page, or a document delivered with a Product, uses a term that is defined here, it has the meaning given here unless the Product Page states a different meaning for that Product.

3. Products and nature of the transaction

3.1 The Products are digital goods. They are delivered electronically and no physical item is supplied unless expressly stated on the Order page.

3.2 Products are licensed, not sold. Save for the limited licence granted in clause 4, the Provider and its licensors retain all right, title and interest, including all Intellectual Property Rights, in and to the Products. Your purchase does not transfer ownership of any Product, Content or Intellectual Property Rights to you.

3.3 We make reasonable efforts to describe the Products accurately. Descriptions, outlines, screenshots, previews and sample pages are illustrative, and the final Product may differ in non-material respects. The description of a Product on the Order page forms part of your Order.

3.4 Products may comprise a single item or a bundle of items. Where a bundle is purchased, each item in the bundle is a Product for the purposes of these Terms and clause 11.4 applies to refunds.

3.5 We may decline or cancel any Order, or withdraw any Product from sale, at any time before delivery, in which case we will refund any amount paid for the affected Order.

3.6 Product Pages. Details that vary by Product, such as the access period, the number of devices or users, the behaviour and requirements of Software, any watermarking or licence-key controls, whether a Subscription or trial applies, the terms of any commercial licence, any different Refund Period or claims period, and any other product-specific condition, are stated on the relevant Product Page. The Product Page forms part of your Order and, if it differs from these Terms, the Product Page prevails for that Product. Nothing on a Product Page reduces any right that you have under Applicable Law.

4. Licence grants

4.1 Grant of licence. Subject to these Terms and to payment of the price, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Product for your own lawful, personal and non-commercial education or use. The licence lasts for the access period stated on the Product Page or, if none is stated, for as long as we make the Product available, subject to clause 10.

4.2 Ebooks. Where you buy an Ebook, you may view and read it, make one (1) backup copy for your own use, and print it for your personal use. You must not otherwise copy, share or distribute the Ebook, and every copy remains subject to these Terms.

4.3 Courses. Where you buy a Course, you may stream or otherwise access its lessons and download the materials that we make available for download, for your own personal study. You must not share your access, and you must not publish or pass on the lessons or materials.

4.4 Software. Where you buy Software, you may install and use it, in object-code form only, on the number of devices or for the number of users stated on the Product Page. You must not install or use it on more devices or for more users than the Product Page permits.

4.5 Updates and upgrades. Updates, new versions and upgrades are included in your licence only if the Product Page says so. If the Product Page does not say so, they are not included, and we may offer them separately on different terms.

4.6 Commercial use. You may use a Product for commercial purposes only under a commercial, team or reseller licence granted under clause 16, where we offer one. A licence that does not state that it is commercial is for personal use only.

4.7 Rights reserved. All rights that these Terms do not expressly grant to you are reserved to us and our licensors. No licence is granted by implication, estoppel or otherwise, and no right is granted in our trade marks or branding.

4.8 End of licence. Your licence ends automatically if we terminate your access under clause 29, if your Order is refunded, or if you breach these Terms. When it ends, you must stop using the Product and delete every copy in your possession or control.

4.9 Your obligations while licensed. You must keep every copyright notice and proprietary marking on the Product intact, and you must use the Product only in line with these Terms and with any usage instructions on the Product Page. If you learn that anyone is using your copy without permission, you must tell us promptly at [email protected].

5. Restrictions and acceptable use

5.1 Prohibited conduct. You must not, and you must not allow or help anyone else to, do any of the following:

(a) copy, redistribute, resell, rent, lend, sublicense, publish or otherwise share a Product, any part of it, or any login or licence key, except as clause 4 expressly permits;

(b) share your Account, your password or your access with any other person, or use another person’s Account;

(c) remove or alter any watermark, copyright notice, digital rights management feature, licence control or other proprietary marking;

(d) circumvent, disable or interfere with any access limit, download limit, device limit or security feature;

(e) reverse engineer, decompile or disassemble any Software, or try to discover its source code, except to the extent that Applicable Law permits despite this restriction;

(f) create derivative works from a Product, or translate, adapt or repackage it, without our written permission;

(g) use a Product or any Content to build, train or improve a competing product or service;

(h) record, screen-capture, transcribe or copy live sessions or video lessons for distribution to others;

(i) use any bot, scraper, crawler or other automated means to access the Website or a Product, as clause 7 also provides;

(j) upload or transmit any virus, malicious code or other harmful material;

(k) interfere with, overload or disrupt the Website, its servers or its networks, or try to gain unauthorised access to any part of them;

(l) use the Website for any unlawful purpose, or to harass, threaten, defame or abuse any person;

(m) impersonate any person or misrepresent your identity, your relationship with us or your authority;

(n) misrepresent the results that you or anyone else have obtained from a Product, or falsely claim to be affiliated with us or endorsed by us; or

(o) abuse the payment or refund process, including by making a payment dispute or chargeback without first contacting us, or in breach of clause 11.11.

5.2 Consequences of breach. If you breach this clause 5, we may suspend or terminate your Account and access under clause 29, refuse any refund request, remove any Content that you have submitted, and take legal action to protect our rights. You will remain responsible for any loss that we suffer because of the breach.

5.3 Watermarking and tracking. Where we use watermarking, unique licence keys, access logs or similar tracking to identify the source of unauthorised sharing, you agree that we may do so. We may rely on the records that these methods produce as evidence of a breach of this clause 5.

5.4 Reasonable use. The Website and the Products are provided for individual use. We may limit, slow or suspend access that places an unreasonable load on our systems or on those of our Third-Party Platforms, and we will act reasonably when we do so.

5.5 Sharing with household members. Your licence is personal to you. You must not let relatives, friends, colleagues or classmates use your Account or your copy of a Product, even where they live with you or work beside you, unless the Product Page expressly allows more than one user. Where it does, the extra users must stay within the stated limit.

5.6 Public performance and display. You must not display, perform, broadcast or present a Product, or any part of it, to an audience, whether in person or online, including in a class, workshop, seminar or livestream. This restriction applies whether or not you charge for attendance, unless we have given you a commercial licence under clause 16.

5.7 Reporting breaches. If you become aware of any breach of this clause 5, including the unauthorised sharing of a Product, you should tell us at [email protected]. We will treat what you tell us with care, and we will use it only to protect our rights and those of our other customers.

6. Intellectual property and ownership

6.1 Ownership. All Intellectual Property Rights in the Website, the Products, the Services, our brand names, our logos and the Content belong to us or to our licensors. You acquire no ownership of any of them by using the Website or by buying a Product or Service.

6.2 Licensed, not sold. As clause 3.2 states, Products are licensed and not sold. Nothing in these Terms transfers any Intellectual Property Rights to you, and any right that you have to use a Product comes only from the licence in clause 4.

6.3 Trade marks and branding. You must not use our name, logo, trade marks, domain names or branding without our prior written permission. You must not use anything that is confusingly similar to them, and you must not suggest that we sponsor or endorse you.

6.4 Your own material. You keep ownership of the material that you create and submit to us, such as reviews, comments and assignments. By submitting it, you grant us the licence described in clause 19, and you confirm that you have the right to do so.

6.5 Feedback. If you give us suggestions, ideas or other feedback about the Website, a Product or a Service, you grant us a free, worldwide, perpetual and irrevocable licence to use it for any purpose without payment or credit to you. We are not obliged to act on feedback or to keep it confidential.

6.6 Statutory exceptions. Nothing in these Terms limits any right that Applicable Law gives you to use copyright material in a way that the law permits and that cannot be excluded by contract, such as fair dealing or fair use for criticism, review or private study.

6.7 Reporting infringement. If you believe that any material on the Website infringes your Intellectual Property Rights, you may report it under clause 24. We will deal with each report in the way that clause describes.

7. AI training, scraping and data-mining prohibition

7.1 You shall not use any Product, Content or Software, or any part of them, to train, fine-tune, validate, test, benchmark or otherwise develop or improve any artificial intelligence, machine learning or large language model, or to create any dataset, embedding, vector index, retrieval corpus or knowledge base.

7.2 You shall not use any automated means, including scraping, crawling, text and data mining, or any similar technique, to extract Content from the Website or any Product. To the fullest extent permitted by Applicable Law, we expressly reserve all rights in respect of text and data mining and any exception or limitation relating to it.

7.3 You shall not upload, paste or submit any Product, in whole or in substantial part, to any third-party artificial intelligence service that retains, trains on, or makes that material available to others. Nothing in this clause prevents you from using a private, personal tool to assist your own study of Content you have properly licensed, provided that the tool does not retain it, train on it or disclose it to any other person.

7.4 Any use of the Content for the purposes described in this clause requires our prior written permission, which we may withhold at our discretion.

8. Accounts, security and access limits

8.1 Accurate details. You must give accurate, current and complete information when you register an Account or place an Order, and you must keep it up to date. We may refuse or suspend an Account if the information is false or incomplete.

8.2 Credentials and responsibility. You are responsible for keeping your login details and any licence keys confidential, and for all activity that takes place under your Account. You must choose a password that is not easy to guess and must not use it on services that others control.

8.3 Unauthorised use. If you suspect that anyone has used your Account or credentials without your permission, you must tell us at [email protected] immediately. We may take reasonable steps to secure the Account, but we are not responsible for loss that happens before you tell us.

8.4 One person per Account. Each Account is for one individual only, and you must not share it, transfer it or sell it. Where a team or commercial licence allows more than one user, each user must have a separate Account.

8.5 Access limits. The Product Page may set limits on the number of devices, simultaneous sessions, downloads or streams that your Account may use. You must stay within those limits, and we may enforce them by technical means.

8.6 Monitoring and verification. We may monitor Accounts for signs of sharing or misuse, suspend any Account that appears suspicious, and ask you to verify your identity or your purchase. If you do not respond within a reasonable time, we may keep the Account suspended.

8.7 Closing your Account. You may ask us to close your Account at any time by writing to [email protected]. Closing an Account ends your access to the Products linked to it, and you will not receive a refund because of the closure, except as clause 11 provides.

9. Orders, pricing, payments and taxes

9.1 Orders and contracts. Each Order is an offer by you to buy the Product or Service. A contract is formed only when we send you an order confirmation or give you access to the Product or Service, whichever happens first.

9.2 Declining and cancelling Orders. We may decline or cancel any Order before delivery, as clause 3.5 states, for example because of a suspected error, fraud or unavailability. If we cancel an Order after you have paid, we will refund the amount that you paid for it.

9.3 Prices. Prices are shown at checkout in the currency shown at checkout. We may change prices for future Orders at any time, but a change does not affect an Order that you have already placed.

9.4 Payment Processor. Payments are processed by the Payment Processor, which acts as the merchant of record for your Order. Payment, tax collection, invoicing and payment disputes are governed by the Payment Processor’s own terms and policies, and you agree to them when you pay.

9.5 Card details. We do not store your full payment card details. The Payment Processor receives and holds the details that you give at checkout, and handles them under its own policies.

9.6 Taxes. Where the law requires it, the Payment Processor calculates and collects value added tax, goods and services tax, sales tax or similar taxes on your Order, and shows them at checkout. You are responsible for any other taxes, duties or charges that apply to your purchase in the place where you live.

9.7 Promotional codes. A promotional or discount code may be used once, has no cash value, cannot be transferred or combined with another offer unless we say so, and may be withdrawn or may expire at any time. We may cancel the benefit of a code that is used in breach of its conditions.

9.8 Pricing errors. If a Product is shown at an incorrect price because of an obvious error, we may correct the error. We will then offer you the choice of going ahead at the correct price or cancelling the Order, and if you cancel after paying, we will refund what you paid.

9.9 Payment disputes and chargebacks. Before you start a chargeback or other payment dispute, you agree to contact us first at [email protected] so that we can try to resolve the matter. We may suspend your access to the Product while a dispute is open, and the dispute rules of the Payment Processor and of your card issuer apply to it.

9.10 Failed payments. If a payment fails or is reversed, we may suspend your access until the amount is paid. We will tell you if this happens, and we will restore access when the payment is received.

9.11 Order confirmation and records. We will send an order confirmation to the email address that you gave at checkout. You must check it on receipt and tell us at [email protected] of any error, and you should keep it as your record of the Order.

9.12 Currency and conversion. You pay in the currency shown at checkout. Your bank or card issuer may apply its own exchange rates or fees to a payment in a different currency, and we are not responsible for them.

10. Delivery, access, formats, accessibility, updates and discontinuation

10.1 Electronic delivery. We deliver Products electronically, by download link, Account access or licence key. Delivery usually takes place immediately after payment is accepted, or within a reasonable time afterwards.

10.2 What you need. You must have a compatible device, the software that the Product requires and an internet connection. We are not responsible for a Product failing to work because your equipment, software or connection does not meet the stated requirements.

10.3 Formats and requirements. The formats and technical requirements of each Product are stated on its Product Page. Please check them before you order, because a mismatch with your equipment is not a fault in the Product.

10.4 Access period and links. Download links and access may expire as stated on the Product Page, and the access period for a Product is the period stated there. After a link or access period expires, we may remove access and you may have to request a new link.

10.5 Changes to Content. We may update, correct, restructure or withdraw Content and features. Where we withdraw a Product that you have paid for, we will give reasonable notice of the material withdrawal where this is practicable.

10.6 Discontinuation. If we discontinue a Product during its access period, we may offer you a replacement of similar scope or a refund of the unused part of the price, as Applicable Law requires. Nothing in this clause limits your statutory rights.

10.7 Accessibility. We aim to make our Products accessible to as many people as reasonably possible. If you need a Product in an accessible format, please write to [email protected], and we will consider your request in good faith.

10.8 Downtime and maintenance. We may carry out maintenance or updates that make the Website or a Product temporarily unavailable. We do not guarantee uninterrupted or error-free access, but we will try to keep the interruptions short.

10.9 Your own copy. Where a Product may be downloaded, you are responsible for downloading it within the access period and for keeping your own backup. We are not responsible for any loss of a copy that you have downloaded.

10.10 Delivery problems. If you do not receive a Product, or the link, key or access that we send does not work, you must tell us at [email protected] and quote your Order number. We will investigate and, where the fault is ours, we will resend the Product or fix the access within a reasonable time.

10.11 Check your messages. Delivery emails may be filtered as spam by your email provider. You should check your spam and promotions folders, and add [email protected] to your contacts, before you report that a Product has not arrived.

10.12 Versions. We may release corrected or improved versions of a Product. Where an access period applies, you may use the version that we make available to you during that period, and we are not required to keep earlier versions available.

10.13 Third-Party Platforms. Some Products are delivered through a Third-Party Platform, such as a video, learning or file-delivery service. In that case, the platform’s own terms apply to your use of it, as clause 21 explains, and we may move the Product to another platform where this becomes necessary.

11. Refund policy

11.1 Refund Period. The refund period is thirty (30) days from the Purchase Date (the “Refund Period”), unless the relevant Product Page states a different period. Refunds are available only on the terms of this clause 11 and 1.

11.2 Ebooks, Software and other Products (other than Courses). You may request a full refund of the price paid for an Ebook, Software or other Product (other than a Course) at any time within the Refund Period, for any reason and without conditions.

11.3 Courses: proof of effort. You may request a full refund of the price paid for a Course within the Refund Period, subject to the following conditions, each of which must be satisfied:

(a) you have gone through all of the Course material, as evidenced by the progress records of the delivery platform or by your own records;

(b) you have made a genuine effort to apply the Course material, including by completing the exercises, assignments and action steps that the Course requires; and

(c) you submit with your refund request reasonable proof of the matters in (a) and (b), as described in Schedule 1, including documents, links, screenshots, recordings, statistics or other evidence of the work you carried out.

A refund request that does not satisfy these conditions is not valid. Reasons that do not qualify for a refund include, without limitation, a lack of time to complete the Course, a change of mind, a change in financial circumstances, and a failure to implement the Course material. The requirements of Schedule 1 apply to every Course refund request.

11.4 Bundles. Where a bundle includes both Courses and other Products, the refund conditions in clause 11.2 and 11.3 apply to each component. If you do not qualify for a refund of a Course component, we may, at our option, refund the apportioned price of the remaining components. Access to every component for which a refund is issued ends on payment of the refund.

11.5 Subscriptions. The first payment for a Subscription is refundable within the Refund Period on the terms of clause 11.2 or 11.3, as applicable to the subject matter of the Subscription. Renewal payments are not refundable, unless Applicable Law requires otherwise or we state otherwise at the time of renewal. You must cancel a Subscription in accordance with clause 12 to prevent further renewals.

11.6 Instalment plans. If you purchased by instalments, a refund granted under this clause 11 is limited to the instalments actually paid, and future instalments are cancelled on the date the refund is issued.

11.7 Coaching and Consulting Services. Fees for Coaching Services are non-refundable once booked and paid, except where Applicable Law requires otherwise or where we cancel a session and cannot reschedule it to a time agreed with you, in which case we will refund the fee for the undelivered session.

11.8 How to request a refund; processing. To request a refund, email [email protected] within the Refund Period quoting your Order number and the email address used to purchase and, for a Course, attaching the proof required by 1. We will confirm receipt within two (2) business days and notify you of our decision within ten (10) business days of receiving a complete request. Approved refunds are paid to the original payment method. The time that it takes for funds to reach you depends on the Payment Processor and your bank.

11.9 Effect of a refund. When a refund is issued: (a) your licence to the refunded Product ends immediately; (b) you must stop using the Product and delete all copies in your possession or control; (c) we may revoke your access, including by deactivating any licence key, download link or Account entitlement; and (d) any commission paid to an Affiliate Partner in respect of the sale may be recovered under clause 15.4.

11.10 Statutory rights; exceptions to conditions. This clause 11 is in addition to, and does not limit, any right you may have under Applicable Law, including any statutory right to cancel a contract for digital content or to a remedy for a Product that is faulty, not as described or not delivered. The conditions in clause 11.3 and Schedule 1 do not apply, and a refund will be provided, where (a) the Product was not delivered; (b) the Product is materially different from its description; (c) a technical fault prevented you from using the Product and we were unable to remedy it within fourteen (14) days of being notified; (d) you were charged more than once for the same Order; or (e) a refund is required by Applicable Law.

11.11 Abuse of this policy. We may decline a refund request, and may suspend or close an Account, if we reasonably determine that you are abusing this clause 11, including by repeatedly purchasing and seeking refunds of Products, by obtaining and retaining Content and then claiming a refund, or by providing false or misleading proof.

11.12 Payment Processor. Refunds are issued through the Payment Processor. Where the Payment Processor’s own refund or dispute rules, or Applicable Law, require a refund or a different procedure, those rules apply to the extent that they require it. We do not control the Payment Processor’s processing times.

12. Subscriptions and instalment plans

12.1 Where this clause applies. Where we offer a Subscription or an instalment plan, this clause 12 applies to it in addition to the rest of these Terms. The billing details that apply to you are shown at checkout and on the Product Page.

12.2 Billing cycle and price. The billing cycle, the price and the renewal date are stated at checkout or on the Product Page before you pay. By completing the Order, you confirm that you have read and accepted them.

12.3 Automatic renewal. A Subscription renews automatically at the end of each billing cycle until you cancel it. You authorise us, through the Payment Processor, to charge the payment method that you gave for each renewal, and you must keep that payment method valid.

12.4 Cancelling a Subscription. You may cancel a Subscription at any time through your Account settings, where this option is available, or by writing to [email protected]. Cancellation takes effect at the end of the billing period that you have already paid for, and you keep access until then.

12.5 Price changes. We may change the price of a Subscription, but we will give you at least thirty (30) days’ notice before the renewal to which the new price applies. If you do not want to pay the new price, you may cancel before that renewal, and the old price continues to apply until then.

12.6 Failed payments. If a renewal payment fails, the Payment Processor may try the payment again, and we may suspend your access until the payment succeeds. If the payment is not made within a reasonable time after we notify you, we may end the Subscription.

12.7 Instalment plans. If you buy a Product by instalments, you agree to pay every instalment on its due date. We may suspend your access if an instalment is not paid, and refunds of instalment plans follow clauses 11.5 and 11.6.

12.8 Renewal reminders. Where Applicable Law requires us to remind you before a Subscription renews, or to confirm a renewal or cancellation, we will do so by email to the address on your Account. Failure to receive a reminder because your details are out of date does not stop a renewal from taking effect.

13. Free trials and free resources

13.1 Where this clause applies. Where we offer a free trial or a free resource, this clause 13 applies to it in addition to the rest of these Terms. The length of a trial, and any limits on it, are stated on the Product Page.

13.2 Conversion to a paid plan. A free trial converts to a paid plan only if we told you so clearly when you signed up and you agreed to it. If you did not agree, no charge will be made when the trial ends.

13.3 One trial per person. Each person may use one free trial of a given Product. We may refuse a further trial, and we may end a trial that we reasonably believe has been obtained by creating several Accounts.

13.4 Changes and ending. We may change, limit or end a free trial or a free resource at any time. Where we end a trial that you have started, we will give you reasonable notice where this is practicable.

13.5 Provided as is. Free resources are provided “as is”, and the licence, restrictions, intellectual property provisions and disclaimers in these Terms still apply to them. You must not share or resell a free resource unless the resource states that you may.

13.6 No refund obligation. Because nothing is paid for a free resource, no refund is due for it. This does not affect any amount that you later pay for a paid Product.

14. Coaching and consulting services

14.1 Where this clause applies. Where we offer Coaching Services, the following terms also apply to them, in addition to the rest of these Terms. If this clause differs from another clause, this clause prevails for the Coaching Services.

14.2 Nature of the Coaching Services. Coaching Services are personalised and are delivered by video, voice or message at times that we agree with you. You must give us the information that we reasonably need to provide them, and you must attend each session on time.

14.3 Booking and rescheduling. You may reschedule a session if you give us at least twenty-four (24) hours’ notice before its start time. We will make reasonable efforts to offer you another time, but we cannot promise a particular slot.

14.4 Late cancellations and no-shows. If you cancel with less than twenty-four (24) hours’ notice, or if you do not attend a session, that session is treated as delivered and the fee for it is forfeited. We may, at our discretion, offer to reschedule it in a case of genuine emergency.

14.5 Fees. Fees for Coaching Services are non-refundable once booked and paid, as clause 11.7 states. This does not affect any right that you have under Applicable Law, or our duty to refund the fee for a session that we cancel and cannot reschedule.

14.6 No regulated advice. Coaching Services are not legal, medical, financial, investment, tax, therapeutic or other regulated advice, and they do not create a professional relationship of that kind. Clause 20 applies to them, and you should consult a qualified professional where you need that kind of advice.

14.7 No guaranteed outcomes. We do not guarantee any outcome from the Coaching Services. You remain solely responsible for your decisions and for the actions that you take, or do not take, after a session.

14.8 Confidentiality. We will keep confidential what you tell us during Coaching Services, and we will not disclose it to anyone else. We may disclose it where the law requires, or where this is needed to protect a person from serious harm.

14.9 Recording. You must not record a session without our permission. We may record a session for quality or record-keeping purposes only if we tell you beforehand, and we will handle the recording under our Privacy Policy.

14.10 Session materials. Any notes, worksheets, templates or recordings that we give you in connection with a session are licensed to you for your personal use only, on the terms of clause 4.

14.11 Conduct. You must behave respectfully towards us and any other participants. We may end a session or the engagement for abusive, threatening or inappropriate behaviour, and in that case no refund is due.

14.12 Age. You must be eighteen (18) years of age or over to receive Coaching Services. We may ask you to confirm your age before we begin.

14.13 Technology failures. If a session cannot take place or is cut short because of a technical failure on our side, we will reschedule it or refund the fee for the undelivered session, as clause 11.7 provides. We are not responsible for failures caused by your own equipment or connection.

14.14 No exclusivity or employment. Receiving Coaching Services does not make you our employee, agent or partner, and we do not give you any exclusive rights. We remain free to provide similar services to others.

15. Affiliate and referral programme

15.1 Eligibility and approval. Where we offer an affiliate or referral programme, this clause 15 applies to it. We may accept or reject any application at our discretion, and you must be eighteen (18) years of age or over. If we accept you, you act as an independent contractor and not as our employee, agent or partner.

15.2 Links and tracking. Referrals are tracked by cookies or similar technology attached to the links that we give you. Unless the programme page states otherwise, the last link clicked before a purchase receives the credit, and the attribution window is the one stated on the programme page.

15.3 Commission. The commission rate and the payment schedule are stated on the programme page or in the affiliate dashboard. We pay commission by the method that we specify, and you are responsible for the taxes that apply to what you earn.

15.4 Refunds and chargebacks. Commission is not payable on a sale that is refunded or charged back. If we have already paid commission on such a sale, we may deduct it from future payments or recover it from you.

15.5 Prohibited promotion. You must not promote the Products or Services by any of the following methods:

(a) spam, or any unsolicited message sent without the permission that the law requires;

(b) misleading, false or exaggerated claims about a Product or Service;

(c) income claims or promises of results that we have not approved in writing;

(d) bidding on our trade marks or brand names in paid search;

(e) buying through your own link, or arranging for others to do so on your behalf, to earn commission on your own purchase;

(f) posting our offers on coupon or deal sites, unless we have approved them;

(g) cookie stuffing or any other technique that places tracking without a genuine click; or

(h) promoting to children.

15.6 Disclosure. You must disclose clearly that you earn a commission, in the way that Applicable Law requires. Examples of the rules that may apply include advertising and endorsement guidance in the United States and in the United Kingdom, and similar rules elsewhere, and you must find out which rules apply to you.

15.7 Compliance with law. You must comply with all Applicable Law that relates to your promotion, including privacy, data protection, consumer-protection and anti-spam laws. You are solely responsible for your own compliance.

15.8 Marketing assets. We may give you approved logos, images and text for use in your promotion. You may use them only for that purpose and only in the form that we give you, under a limited, revocable licence that ends when your participation ends.

15.9 Term and termination. Either party may end your participation at any time by written notice. We will pay valid commission that you earned before the date of termination, except where we terminate because you breached these Terms or this clause.

15.10 No authority. You have no authority to bind us, to make any promise on our behalf or to make any statement about a Product or Service beyond what we have published. You must not suggest that you speak for us.

15.11 Changes to the programme. We may change the commission rates, the payment terms or the rules of the programme by giving you reasonable notice. If you do not accept a change, you may end your participation before it takes effect.

15.12 Liability and indemnity. You will indemnify us against claims, losses and reasonable costs that arise from your breach of this clause 15, or from your promotion. Our liability to you in connection with the programme is limited as clause 26 provides.

16. Commercial, team and reseller licences

16.1 Where this clause applies. Where we offer commercial, team or reseller licences, this clause 16 applies only to the licence type that is shown on the relevant Product Page. It adds to the rest of these Terms and does not replace them.

16.2 Scope of the licence. The Product Page states the number of users, entities or seats that the licence covers. Unless it expressly grants rights to resell, the licence allows internal business use only.

16.3 No sublicensing. You must not sublicense, assign or make a Product available outside the stated scope. Any use outside that scope needs our prior written agreement.

16.4 Reseller and white-label rights. Reseller or white-label rights exist only if the Product Page says so, and they are subject to the conditions that it states. If the Product Page does not mention them, you have no such rights.

16.5 Your personnel. You must make sure that your employees, contractors and other personnel who use the Product know of these Terms and comply with them. You are responsible for any breach by them as if it were your own.

16.6 Audit. On reasonable notice, you must give us the information that we reasonably need to confirm that you comply with the licence. We will use that information only for that purpose and will keep it confidential.

16.7 Transfer. A commercial licence is not transferable, except with our prior written consent. We will not unreasonably withhold consent where the transfer is part of a sale of your whole business.

16.8 Fees and renewal. The fees, the renewal terms and the licence period are stated on the Product Page. You must pay them in line with clause 9.

16.9 Business users. If you buy for business purposes, you cannot claim rights that Applicable Law gives only to consumers. You confirm that you have the experience and means to assess whether the Product suits your business.

16.10 Breach and indemnity. If you breach this clause 16, we may terminate the licence under clause 29. You will indemnify us against claims, losses and reasonable costs that arise from your use of a Product outside the scope of the licence.

17. Webinars and events

17.1 Where this clause applies. Where we offer webinars, live sessions or Events, this clause 17 applies to them in addition to the rest of these Terms. The registration and access details are given on the Event page.

17.2 Registration and time zones. You must register in the way that the Event page describes. Times are shown in the time zone stated on the Event page, and you are responsible for working out the local time for your location.

17.3 Changes and cancellation by us. We may reschedule an Event, change its speakers or cancel it, and we will tell registered attendees if we do. Where a paid Event is cancelled and not rescheduled to a date that you can attend, we will refund the fee that you paid for it.

17.4 Recording by attendees. You must not record, screen-capture or transcribe an Event, or any part of it, unless we have given you written permission. Clause 5 applies to any recording that you make in breach of this rule.

17.5 Recording by us. We may record an Event and use the recording. If you speak or appear on camera, you consent to appear in the recording, unless you tell us before the session that you do not.

17.6 Replays. We provide a replay only if the Event page says so. If it does, the replay is a Product or part of the Event as the Event page describes, and these Terms apply to it.

17.7 Educational content. The content of an Event is educational and is not advice. Clause 20 applies to everything that is said or shown at it.

17.8 Conduct and removal. You must behave respectfully at every Event. We may remove an attendee for abusive or disruptive behaviour without a refund.

17.9 Refunds. Refunds for paid Events follow the Event page. If the Event page does not state a refund rule, the Event fee is non-refundable once the Event has taken place, subject to clause 11.10 and to any right that you have under Applicable Law.

17.10 Privacy. The Personal Data that you give when you register is handled under our Privacy Policy at https://quillandcrest.com/privacy-policy/.

18. Software-specific terms, including AI features

18.1 Licence, not sale. Software is licensed to you and not sold, and it is provided in object-code form only. The number of devices or users that the licence covers is stated on the Product Page, and you must not exceed it.

18.2 Requirements and third-party components. The system requirements and installation steps are stated on the Product Page or in the documentation. Software may include open-source or other third-party components, which remain under their own licences, and those licences prevail over these Terms for those components.

18.3 Updates, patches and support. Updates, patches and support are provided only as the Product Page states. We may end support for a version of the Software, and where we do, we will give reasonable notice where this is practicable.

18.4 Activation and licence checks. Software may need a licence key or activation, and it may check that your licence is valid. We may use technical measures to detect tampering or unlicensed use, and any offline grace period is stated on the Product Page.

18.5 No reverse engineering. You must not reverse engineer, decompile or disassemble the Software, as clause 5 provides, except to the extent that Applicable Law gives you a right to do so that cannot be excluded.

18.6 Backups and your environment. You must keep backups of your own data and files. We are not responsible for loss or damage that is caused by your environment, your equipment or other software that you use.

18.7 Beta and preview features. We may offer features that are labelled beta, preview or experimental. They are provided “as is”, may change or be removed at any time, and you use them at your own risk.

18.8 Your data. The data that you put into the Software remains yours. We process it only as our Privacy Policy states, and you are responsible for making sure that you have the right to use it.

18.9 Artificial intelligence features. Where we offer artificial intelligence features, the following applies to them:

(a) their output may be inaccurate, incomplete or similar to the output that other users receive;

(b) you must review the output before you rely on it, and it is not professional advice;

(c) you must not enter unlawful material, or the Personal Data of other people without a lawful basis;

(d) we may use third-party artificial intelligence providers, as clause 21 explains;

(e) we do not use your private inputs to train general models unless you agree, as our Privacy Policy also states; and

(f) you own the output to the extent of our rights in it, subject to the terms of the third-party provider.

18.10 Acceptable use of the Software. You must not use the Software for any unlawful, harmful or infringing purpose, or to attack, monitor, track or harass any other person. We may suspend your access if you do.

18.11 Warranty disclaimer. The Software is provided subject to the disclaimer of warranties in clause 25. We do not warrant that it is free from errors, bugs or viruses.

18.12 Termination and removal. If your licence ends, you must stop using the Software and remove it from your devices. We may disable it or revoke its keys remotely, where the Software is designed to allow this.

18.13 Open-source notices. Notices and licence texts for open-source components are provided in the Software, its documentation or on the Product Page. You may ask for a copy at [email protected].

18.14 Security and responsible use. We take reasonable measures to protect the Software, but no software is free of vulnerabilities. If you find a security issue, you should report it to [email protected] and give us a reasonable time to fix it before you disclose it to anyone else.

18.15 Support requests. Where support is included, you must give us the information that we reasonably need to reproduce a problem, such as the version, your system details and the steps that led to it. We may decline support for versions that are no longer supported, for modified Software or for problems that arise from your environment.

18.16 Hosted features and availability. Where a feature of the Software depends on our servers or on a Third-Party Platform, we may update, limit or suspend it for maintenance or security reasons. We will try to give notice of planned interruptions, but we do not promise that every feature will be available at all times.

19. Reviews, comments and testimonials

19.1 Submitting content. You may submit reviews, comments and testimonials on or through the Website, where we offer the feature. This clause 19 is the only provision about content that users submit.

19.2 Your responsibility. You are responsible for what you submit. You confirm that you have the right to submit it, that it is truthful and based on your own experience, and that it is not unlawful, defamatory, infringing, misleading or abusive.

19.3 Licence to us. You keep ownership of your content, but you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, display and edit it for formatting, for as long as we display it, or for a perpetual period where you have given us a testimonial to publish. We will use your name together with your content only with your permission.

19.4 No endorsement. We do not endorse, verify or accept responsibility for content that users submit, and the views expressed in it are those of the user alone. You must not rely on user content as advice.

19.5 Moderation and removal. We may review, refuse, edit or remove any content, at any time and for any reason, including where it breaches these Terms. We have no duty to display content, and removal does not give you a claim against us.

19.6 No payment for reviews. We do not pay for reviews and we do not make any benefit depend on a review being positive. Where we offer an incentive for a review, we will require you to disclose it as Applicable Law requires, and you must do so.

19.7 Product problems. If you have a problem with a Product, please write to [email protected] and do not use a review to report it. We can usually help more quickly when you contact us directly.

19.8 Removal requests. If you want us to remove content that you submitted, please write to [email protected] and identify the content. We will act on a reasonable request within a reasonable time, unless we must keep the content to meet a legal duty.

20. Educational content and results disclaimer

20.1 Educational purpose. The Products and Services are provided for general educational and informational purposes only. They reflect the knowledge and experience of their authors at the time of creation and may become out of date.

20.2 No professional advice. Nothing in the Website, the Products or the Services constitutes, or should be relied on as, legal, financial, investment, trading, tax, accounting, medical, health, psychological, engineering, security or other professional advice, or as a recommendation to take or avoid any action. We are not a registered or authorised adviser, broker, planner or regulated professional in any jurisdiction, unless we expressly state otherwise in writing. You should consult an appropriately qualified professional before making decisions that affect your finances, health, legal position, business or safety.

20.3 No guarantee of results. We make no representation, warranty or guarantee that you will achieve any particular outcome, result, income, profit, saving, growth, grade, qualification, employment, skill level or success by using any Product or Service. Any examples, case studies, figures, earnings statements or testimonials are provided for illustration, are not typical or guaranteed, and do not represent what you should expect. Results depend on many factors, including your background, effort, skill, investment, circumstances, market conditions and factors beyond our control.

20.4 Your decisions and risk. You are solely responsible for your decisions and actions, and you assume all risk arising from your use of any Product or Service. Any activity that involves financial, business, health or personal risk may result in loss, including the loss of your whole investment.

20.5 Accuracy. We make reasonable efforts to ensure that Content is accurate, but we do not warrant its accuracy, completeness, currency or suitability. Laws, regulations, platforms, prices and technologies change.

20.6 Forward-looking statements. Any statements about future performance, trends or outcomes are opinions and predictions only and are not guarantees.

20.7 AI-assisted content. Content and Software may be created or assisted by artificial intelligence tools. We review materials with reasonable care, but AI-assisted content may contain errors. You are responsible for verifying any information on which you rely.

21. Third-party platforms, links and payment processors

21.1 Third-Party Platforms. The Website and the Products may link to, or depend on, Third-Party Platforms, such as those for hosting, video, learning delivery, payments, email, analytics and artificial intelligence. We choose them with reasonable care, but they are not under our control.

21.2 Their terms apply. The terms and privacy policies of each Third-Party Platform apply to your use of it. You must read and follow them, and any dispute with a Third-Party Platform is between you and that platform.

21.3 No responsibility for others. We are not responsible for the content, availability, security or practices of any Third-Party Platform. A link on the Website does not mean that we endorse the linked site or its owner.

21.4 Payment Processor. The Payment Processor’s terms govern your payments, as clause 9 states. We are not a party to the arrangements between you and the Payment Processor or your bank.

21.5 Changes to platforms. If a Third-Party Platform changes its service, or ends it, we may move a Product to another platform or change how it is delivered. We will tell you where the change materially affects your access.

21.6 Use of names. Third-party names, logos and marks are used only to identify the relevant service, and they remain the property of their owners. Their use does not suggest any affiliation, sponsorship or endorsement.

21.7 Artificial intelligence providers. Where a feature uses a third-party artificial intelligence provider, your inputs may be processed by that provider on the terms that apply between us and it. Our Privacy Policy explains how we handle your Personal Data in that case.

21.8 Links to the Website. You may link to the Website for lawful purposes, as long as your link does not suggest that we sponsor or endorse you, and does not damage our reputation. We may ask you to remove a link, and you must do so promptly.

22. Communications, notices and electronic consent

22.1 Electronic communications. You consent to receive notices and other communications from us electronically, by email or by posting them on the Website. You agree that electronic communications satisfy any legal requirement that a communication be in writing.

22.2 Service messages. Messages about your Orders, your access, security and changes to these Terms are service messages, and they are not marketing. You cannot opt out of them while you hold an Account, because we need them to provide the Products.

22.3 Marketing emails. We send marketing emails only where Applicable Law permits and, where required, only with your consent. Every marketing email contains a way to unsubscribe, and we will act on your request without delay.

22.4 Notices to you. We will send notices to the email address on your Account. A notice is treated as received when we send it, even if you do not read it or your provider filters it.

22.5 Notices to us. You must send notices to us in writing at [email protected]. A notice to us takes effect when we receive it.

22.6 Keeping your details current. You must keep your email address up to date and check your messages regularly. We are not responsible if you miss a notice because your contact details are out of date.

22.7 Legal notices. A legal notice that you wish to give us, such as a complaint, a claim or a notice of dispute under clause 31, must be in writing and must state that it is a legal notice. We will treat a message that does not say so as an ordinary enquiry.

22.8 Contacting you by other means. We may contact you by other means that you have given us, such as a messaging address, where this is needed to deal with an urgent security or delivery issue. We will use the email address on your Account for everything else.

23. Privacy and data protection

23.1 Privacy Policy. Our Privacy Policy at https://quillandcrest.com/privacy-policy/ explains how we collect, use and protect Personal Data. It forms part of these Terms by reference, and you should read it before you use the Website.

23.2 Your statutory rights. Nothing in these Terms limits any right that you have under Applicable Law in relation to your Personal Data. The Privacy Policy explains those rights and how to use them.

23.3 Other people’s Personal Data. You must not give us the Personal Data of another person unless you have the authority or a lawful basis to do so. If you do, you are responsible for any claim that arises from it.

23.4 Cookies. We use cookies and similar technologies, and the Privacy Policy describes them and the choices that you have. By using the Website, you accept their use as the Privacy Policy and any consent tool on the Website allow.

23.5 Security of your Account. You are responsible for the Personal Data that you choose to put in your Account, in a review or in a message to us. You should not include more Personal Data than is needed, and you must not put sensitive details, such as payment card numbers, in a message to us.

23.6 Changes to the Privacy Policy. We may update the Privacy Policy as its own terms describe. The version that applies is the one that is posted on the Website when you use it, and the Privacy Policy tells you how we notify you of material changes.

24. Intellectual property complaints and takedown

24.1 How to report. If you believe that material on the Website infringes your copyright or other Intellectual Property Rights, you may send a written notice to [email protected]. We will review each notice that meets the requirements of this clause 24.

24.2 What a notice must contain. A notice must include:

(a) your name and your contact details;

(b) a description of the work that you say has been infringed;

(c) the location of the material on the Website, such as a web address;

(d) a statement that you believe in good faith that the use is not authorised by the owner, its agent or the law;

(e) a statement that the information in your notice is accurate and that you are the owner or are authorised to act for the owner; and

(f) your physical or electronic signature.

24.3 Our response. We will respond to a complete notice within a reasonable time. We may remove or disable access to the material while we review it, and we may tell the person who posted it that we have received a notice.

24.4 Counter-notice. If we remove material that you posted, you may send a written counter-notice to [email protected] that identifies the material and explains why you believe that the removal was a mistake. We may restore the material if the person who made the notice does not take further steps within a reasonable period that we set.

24.5 Repeat infringers. We may suspend or end the Account of anyone who repeatedly infringes the rights of others. We decide what counts as repeated infringement, acting reasonably.

24.6 False notices. You may be liable for losses that arise if you knowingly make a false or misleading notice or counter-notice. Please do not send a notice unless you are sure that you are entitled to.

24.7 No statutory status. We do not claim to be a service provider under any particular statute, unless that statute applies to us. This clause is our way of dealing with complaints fairly, and it does not limit any other right or remedy that either of us may have.

25. Disclaimer of warranties

25.1 As is and as available. To the extent that Applicable Law permits, the Website, the Products and the Services are provided “as is” and “as available”. We do not promise that they will meet your needs or expectations.

25.2 Implied warranties. To the extent that Applicable Law permits, we disclaim all warranties, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement and accuracy. We make no warranty that the Website or any Product will be uninterrupted or error-free.

25.3 Software. We do not warrant that any Software is free from bugs, errors or viruses, or that it will work with every device, system or other software. You use it at your own risk, and you should take your own precautions, such as keeping backups.

25.4 No guarantee of results. We do not guarantee any result from a Product or Service, as clause 20 states. Nothing on the Website, in a Product or said by us is a promise of a particular outcome.

25.5 Statutory guarantees. Nothing in this clause removes any guarantee, right or remedy that Applicable Law gives you as a consumer and that cannot be excluded, as clause 26.3 also states.

25.6 Content and links. We do not warrant that the Content, or the content of any linked site, is accurate, complete, current or suitable for your purposes. You should check anything important before you rely on it, as clause 20 also explains.

25.7 No other promises. No employee, contractor or Affiliate Partner has authority to give a warranty on our behalf that is not set out in these Terms or on the Product Page. If anyone gives you such a promise, you must not rely on it.

26. Limitation of liability

26.1 Excluded losses. Subject to clause 26.3, to the fullest extent permitted by Applicable Law, the Provider and its owners, directors, officers, employees, contractors, affiliates, licensors and agents shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any of the following, whether direct or indirect: (a) loss of profit, revenue, income, savings, business, opportunity, anticipated benefit or contracts; (b) trading, investment or financial loss; (c) loss, corruption or unavailability of data; (d) loss of goodwill or reputation; (e) wasted expenditure; (f) professional fees or the cost of substitute products; or (g) loss arising from your reliance on any Content or on the results of any Product, in each case even if we were advised of the possibility of such loss.

26.2 Cap on liability. Subject to clause 26.3, to the fullest extent permitted by Applicable Law, the total aggregate liability of the Provider to you arising out of or in connection with these Terms, the Products or the Services shall not exceed the greater of (a) the total amount that you actually paid to us for the Product or Service giving rise to the claim in the twelve (12) months before the event giving rise to liability, and (b) one hundred (100) United States dollars or the equivalent in the currency in which you paid.

26.3 Liability that cannot be limited. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Applicable Law, including liability for (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) wilful misconduct or gross negligence, where the law does not permit its exclusion; or (d) breach of any right that you have as a consumer under mandatory consumer-protection law, including any right to a Product that is as described, of satisfactory quality, fit for purpose and supplied with the right to use it.

26.4 Sole remedy. Subject to clauses 11 and 26.3, your sole and exclusive remedy for dissatisfaction with the Website, any Product or any Service is to stop using it and, where eligible, to claim a refund under clause 11.

26.5 Time limit on claims. To the maximum extent permitted by Applicable Law, any claim arising out of or related to these Terms, the Products or the Services must be commenced within one (1) year (or any different period stated on the relevant Product Page) after the claim arose. Any claim not commenced within that period is permanently barred.

26.6 Allocation of risk. You acknowledge that the prices of the Products reflect the allocation of risk in this clause 26, and that the limitations in it are a fundamental basis of the bargain between you and us.

26.7 Business users. If you are acquiring Products for business purposes, you agree that this clause 26 is reasonable. If you are a consumer, nothing in this clause affects your statutory rights.

27. Indemnification

27.1 Your indemnity. You will indemnify us against claims, losses, liabilities and reasonable costs, including reasonable legal fees, that arise from your breach of these Terms, your breach of Applicable Law or of the rights of any third party, or the content that you submit.

27.2 Process. We will tell you promptly about a claim that you are asked to cover. Where this is practicable and lawful, we will let you take control of its defence, provided that you do so promptly and do not settle it in a way that affects our rights without our consent.

27.3 Business users and consumers. This clause 27 applies in full to business users. It applies to consumers only to the extent that Applicable Law permits, and it does not limit any right that a consumer has.

27.4 Costs and cooperation. You must give us the information and help that we reasonably need to deal with a claim that this clause covers. You will pay the reasonable costs that we incur in dealing with it, and we will tell you of them before we ask you to pay.

27.5 Our reserved rights. We may take part in the defence of a claim with our own advisers at our own cost. We keep the right to take over the defence of a claim that affects our Intellectual Property Rights or our business generally.

28. Export controls, sanctions and prohibited jurisdictions

28.1 Your confirmation. By using the Website or placing an Order, you confirm that you are not named on any sanctions or restricted-party list, and that you are not located in a country or region that is subject to comprehensive sanctions or an embargo under laws that apply to us or to the Payment Processor. You must tell us promptly if this stops being true.

28.2 Compliance. You must not use or transfer a Product in breach of any export-control or sanctions law that applies to you or to us. You are responsible for finding out which laws apply to you.

28.3 Our right to refuse. We may refuse to provide the Website, a Product or a Service, or end your access, where this is needed to comply with those laws. If we do so for that reason, we will refund any amount that you are entitled to under Applicable Law.

28.4 Changes in your circumstances. If you move to a place that is subject to comprehensive sanctions, or become named on a restricted-party list, you must stop using the Website and the Products at once. We may close your Account and remove your access in that case, as clause 29 provides.

29. Suspension and termination

29.1 Suspension and termination by us. We may suspend or end your access to the Website, a Product or a Service where you breach these Terms, you fail to pay, we suspect sharing of a Product or fraud, the law requires it, or this is needed to protect the Website or other users. Where it is practicable, we will give you notice and a reasonable chance to put the matter right before we act.

29.2 Immediate action. We may act at once, without notice, where the breach is serious or cannot be put right, or where delay would put the Website, our rights or other people at risk. We will tell you the reason as soon as is reasonably practicable.

29.3 Ending by you. You may stop using the Website and the Products at any time. To close your Account, you must write to [email protected], and ending your use does not entitle you to a refund except as clause 11 provides.

29.4 Effect of ending. When your access ends, your licence ends, we may remove your access, and you must delete all copies of the Products in your possession or control. Amounts that you owe to us at that time remain payable.

29.5 Refunds. You are entitled to a refund on ending only as clause 11 and Applicable Law provide. If you have paid for access and we end that access during the paid period for a reason other than your breach, we will refund the unused part of the fee.

29.6 Survival. The clauses that by their nature are meant to continue will continue after these Terms or your access end. They include the clauses on intellectual property, restrictions, disclaimers, limitation of liability, indemnification and governing law, and any accrued rights.

29.7 Termination of an Order or Product. We may end your access to one Product or Service without ending your access to others, where the breach relates only to that Product or Service. We will tell you which access we have ended and why.

29.8 Appeals and review. If you think that we suspended or ended your access by mistake, you may write to [email protected] and explain why. We will review your message in good faith and tell you the result, and we will restore your access if we find that we made a mistake.

29.9 Data after termination. After your access ends, we may keep and use your Personal Data only as our Privacy Policy permits. You should download anything that you are allowed to keep before your access ends, because we may delete your Account content afterwards.

30. Force majeure

30.1 Events beyond control. We are not liable for any delay or failure to perform that is caused by an event beyond our reasonable control. Such events include natural disaster, war, terrorism, epidemic, government action, a failure of power or the internet, an outage of a Third-Party Platform, and a cyber attack that occurs despite reasonable security measures.

30.2 Resuming performance. We will resume performance as soon as is reasonably practicable after the event ends. We will take reasonable steps to limit its effect on you.

30.3 Payments and statutory rights. This clause does not release you from your duty to pay for Products that we have already delivered. It does not limit any right that Applicable Law gives you.

30.4 Notice and mitigation. If an event beyond our control affects your access to a Product for a significant time, we will tell you where this is practicable. We will take reasonable steps to limit the effect, for example by moving the Product to another platform, and you may write to [email protected] to ask what it means for your access.

31. Governing law and disputes

31.1 Governing law. These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles.

31.2 Informal resolution. Before commencing any formal proceedings, you agree to send us written notice of the dispute, describing it in reasonable detail, to [email protected], and to negotiate with us in good faith for at least thirty (30) days from our receipt of the notice. Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief.

31.3 Courts. Subject to clauses 31.2 and 31.4, the courts of competent jurisdiction in Nigeria have exclusive jurisdiction to settle any dispute that arises out of or in connection with these Terms, and each party irrevocably submits to that jurisdiction and waives any objection to venue or to an inconvenient forum.

31.4 Consumers. If you are a consumer, nothing in these Terms deprives you of the protection of any mandatory provision of the law of the country in which you reside, and you may bring proceedings in the courts of your country of residence where Applicable Law gives you that right.

31.5 Intellectual property enforcement. Notwithstanding this clause 31, we may seek relief to protect our Intellectual Property Rights in any court of competent jurisdiction.

32. General provisions

32.1 Entire agreement. These Terms, the Product Pages and the Privacy Policy are the entire agreement between you and us about their subject matter. They replace any earlier discussion, understanding or statement, and you confirm that you have not relied on any statement that is not set out in them.

32.2 Severability. If a court or other authority finds that any provision of these Terms is invalid or unenforceable, that provision will be limited or removed to the smallest extent needed. The rest of these Terms will stay in force.

32.3 No waiver. A delay or failure by us to enforce a right does not waive that right. A waiver is effective only if it is in writing and signed or sent by us.

32.4 Assignment. We may assign or transfer our rights and duties under these Terms, including as part of a sale of our business, on notice to you. You may not assign or transfer yours without our prior written consent.

32.5 No partnership or agency. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and us. Neither of us may bind the other.

32.6 Third-party rights. No person who is not a party to these Terms has any right to enforce them, except an Affiliate Partner to the extent that clause 15 states. The parties may change these Terms without the consent of any third party.

32.7 Headings. Headings are for convenience only and do not affect how these Terms are read.

32.8 Language. These Terms are made in English. If we provide a translation, the English version prevails where the two differ.

32.9 Electronic agreement. You agree that your acceptance of these Terms by electronic means, including by clicking a button or placing an Order, is as valid as a signature on paper.

32.10 Survival. Clause 29.6 states which provisions continue after these Terms end.

32.11 Consumer rights. Nothing in these Terms affects any right that you have as a consumer under Applicable Law and that cannot be excluded or limited by agreement.

32.12 Interpretation of these Terms. These Terms are not to be read against us because we prepared them. Each provision applies as far as the law allows, and a provision that is limited by law continues to apply to the extent that it is not limited.

32.13 Cumulative remedies. The rights and remedies that these Terms give us are in addition to any other rights and remedies that we have by law. Using one right or remedy does not prevent us from using another.

32.14 Further assurance. Each party must do what is reasonably needed to give full effect to these Terms. This includes signing any document that the other party reasonably asks for to confirm a right that these Terms give.

33. Changes to these Terms

33.1 Our right to update. We may update these Terms from time to time, for example to reflect changes in the law, in our Products or in how we operate. The updated Terms are posted on the Website with a new “Last updated” date.

33.2 Notice of material changes. For a material change, we will give reasonable notice, by email or by a notice on the Website, before the change takes effect. We will give at least thirty (30) days’ notice where Applicable Law or fairness requires it.

33.3 No retroactive effect. A change does not apply to an Order that you placed before the change took effect. The Terms in force on the date of your Order continue to govern that Order, except where the law requires otherwise.

33.4 Continued use. If you keep using the Website or the Products after the new Terms take effect, you accept them. If you do not agree to them, you must stop using the Website, and you may ask us about your options at [email protected].

33.5 Changes to the Products and the Website. We may change the Website, the Products and the Services from time to time, including their features, design and availability. Where a change materially reduces what you paid for during an access period, clause 10 and Applicable Law apply.

33.6 Changes required by law. We may change these Terms with immediate effect where this is needed to comply with Applicable Law or a decision of a regulator or court. We will tell you of the change as soon as is reasonably practicable.

34.4 Please include your Order number and the email address that you used to buy in your message, where your matter concerns an Order, so that we can find your records. Where you write about a Course refund, please also attach the proof that Schedule 1 describes.

Schedule 1: Course refund: proof of effort requirements

S1.1 Purpose. This Schedule sets out what you must provide to be eligible for a refund of a Course under clause 11.3. It exists because the Courses are designed to deliver results only when the material is fully studied and genuinely applied.

S1.2 Completion of the material. You must show that you have gone through all of the Course material, meaning every module, lesson, video, reading and assignment that is part of the Course as delivered to you, by providing at least one of the following: (a) the progress or completion report from the delivery platform; (b) screenshots of your Account showing that each lesson is marked complete; or (c) another record that we reasonably accept.

S1.3 Evidence of effort to apply the material. You must show that you made a genuine effort to apply enough of the material, by providing evidence of the work that you carried out in connection with the Course, which must include the exercises, assignments and action steps that the Course requires. Acceptable evidence may include, as appropriate to the subject of the Course:

(a) completed worksheets, workbooks, templates, plans and assignments;

(b) links to, or screenshots of, work that you produced, published, built, launched or practised;

(c) recordings, files, drafts, code, designs, documents or outputs that you created;

(d) records, statistics, analytics or logs showing activity and results;

(e) communications, posts or messages showing that you carried out the steps taught; and

(f) records of your participation in live calls, assignments or support interactions that the Course includes.

The following table gives examples of acceptable evidence. It is a guide and not a closed list.

A request will not be valid where (a) it does not include the proof required by this Schedule; (b) it shows little or no effort, or does not show that you implemented most of the Course material; or (c) the stated reason is that you did not have time, changed your mind, found the Course unsuited to a purpose that is not described in it, or needed the money for another purpose.

S1.8 Our review. We will review each complete request in good faith, on the same standard for every purchaser, and notify you of the outcome within the period stated in clause 11.8. We may ask for additional information or clarification, and we may verify records with the delivery platform.

S1.9 Opportunity to supplement. If you submit a request within the Refund Period and we notify you that the proof is incomplete, you may supplement it within seven (7) days of our notice, even if that period ends after the Refund Period.

S1.10 Courses released in stages. Where a Course is released in stages, such as weekly modules or scheduled live sessions, the Refund Period for that Course runs until thirty (30) days after the final module is released to you, and the completion requirement applies to the material released as at the date of your request.

S1.11 Fairness. We offer refunds on this basis because we are confident in the methods that we teach and want each student to give them a fair chance, which is fair to all students. Nothing in this Schedule limits clause 11.10.

S1.12 Accessibility and exceptional circumstances. If a disability, illness, bereavement or other exceptional circumstance prevented you from meeting these requirements, please tell us in your request. We will consider it in good faith, and nothing in this Schedule limits any right that you have under Applicable Law.
